Property Rights. The elements of design work for the project remain Designing Digitally, Inc's property whether or not the project is executed. If client chooses to terminate the project at any time in the future, Designing Digitally, Inc. reserves the right to retain the rights for usage. This means, the client owns the finished product but we reserve the rights to the 'ingredients' used to create your images including fonts, patterns, stock art, textures and shapes.
 
Approval of Final Artwork. The Client shall proofread and approve all final type before the production of artwork. Final proof will include artwork, size, shipping address and quantity. The email verification of the Client's Representative shall be conclusive as to the approval of all artwork, drawings and other items prior to their release for printing, fabrication, or installation. Designing Digitally, Inc. does not offer proofreading, editing or copywriting. NO refunds or reprints are given after a final approved design is in print production.
 
Rights. All services provided by Designing Digitally, Inc. shall be for the exclusive use of the Clients said purposes only. Designs may not be used for other promotional items, website or printed materials without permission. Upon payment of all fees and expenses, reproduction rights for all approved final designs created by Designing Digitally, Inc. for projects shall be outlined in the original estimate. For further usage, price will be based on a case by case basis.
 
Ownership. All drawings, artwork, specifications, and other visual presentation materials remain the property of the Designing Digitally, Inc to show in printed or online portfolios for the length of the lifetime of the company. Designing Digitally, Inc. permits artists and/or designers to use all assets in created artwork for portfolio purposes. All preliminary concepts and visual presentations produced by Designing Digitally, Inc. remain the property of Designing Digitally, Inc. and may not be used by the client without the written permission of Designing Digitally, Inc. Final artwork and concepts may not be given to other artists to alter, reproduce or post online in any way without express permission of Designing Digitally, Inc.

Designing Digitally, Inc shall retain all artwork, drawings, and specifications, for which reproduction rights have been granted for a specified period from the date of the estimate provided to the client. Upon expiration of this period, usually lifetime of client, all such materials may be destroyed unless the client has requested, in writing, that they be retained and agrees to pay reasonable digital storage charges. The Client shall have reasonable access to all such materials for the purpose of review. The specified time for the Designer to retain such materials shall be two years.
 
Credit. The Client shall not, without written approval, use the Designing Digitally, Inc. name for promotional or any other purposes with respect to these designs. Artists / Designers may use artwork designed under and for Designing Digitally, Inc. clients with credit to Designing Digitally, Inc.
 
Liability of Designing Digitally, Inc. Designing Digitally, Inc. shall take reasonable precautions to safeguard original or other materials provided by the client. Designing Digitally, Inc. shall, however, not be liable for any damage to, or loss of any material provided by the client, including artwork, photographs, or manuscripts, other than or on account of willful neglect or gross negligence of Designing Digitally, Inc. Although Designing Digitally, Inc. may recommend that the client utilize the services of various trades people, Designing Digitally, Inc. shall have no liability for payment to these trades people, nor shall Designing Digitally, Inc. have liability as a result of any services or product or materials by said trades people.
 
Merchant Account. We recommend PayPal for this important e-com service. http://www.paypal.com/ however Designing Digitally, Inc. does not guarantee flawless services or customer support from above said company. There will be a 4% increase in the quote price for using this service.
 
Search Engines. Designing Digitally, Inc. will submit your new static or dynamic website to the top 100 search engines and provide basic consultation on search engine promotion. We are not responsible for your search engine rankings, or marketing of any kind.
 
Termination. Either party may terminate this Agreement upon giving written notice to the other as specified below. Upon termination Designing Digitally, Inc. may retain any initial payment and the client shall pay Designing Digitally, Inc. for all hours expended on the project, up to the date of termination, at Designing Digitally, Inc. standard rates together with all other amounts due hereunder.
 
Refunds. Once a project has been designed in full according to the agreed upon project, no refunds are given after design has been approved. If more than the agreed upon number of layouts is provided along with revisions no deposit is refunded. If print quality is poor, your order will be reprinted for you at no cost. Refunds for shipping and printing are not given under any circumstance.

Timelines. After deposit is given and project has been outlined, we will provide you with an estimated turnaround time. For websites this turnaround time is from the date we have all content from the client. Without content from the client, our design cannot be fully planned or developed. If the client decides to delay the project all invoices for the entire project will be due 30 days after the request for services regardless if the project is finished. After the 30 days Designing Digitally Inc. cannot guarantee the original projected timeline. We will do out best to work you back into the schedule as time permits.

Maintenance. After completion of a project, maintenance and updates are billed at an hourly rate. For each project, there will be a minimum of one hour of development time for any and all changes. These rates apply to each and every job with Designing Digitally, Inc. since 2004.
 
Print Quality. All printed projects are completed in accordance with industry-wide standards for color printing and registration. At Designing Digitally Inc. we want you to be completely satisfied with your printed product. If you find an error introduced by us or a manufacturing defect, we'll reprint the damaged prints from original files at no cost once the first job has been returned to us. This guarantee does not cover errors such as incorrect copy or poor photography resulting from the original file sent; therefore it's very important that you carefully check your online proof for any errors.
 
Web Design. Designing Digitally, Inc. reserves the right to include "Web site design by Designing Digitally, Inc." at the bottom of created Web site in proximity to copyright information.
